1. Introduction and Acceptance
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Zlice ("Zlice," "we," "us," "our"), governing your access to and use of the Zlice mobile application, website, and related services (collectively, the "Platform" or "Services").
By downloading, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund Policy, and Aura Program Terms. If you do not agree, you must immediately cease using the Platform.
These Terms may be updated from time to time. Continued use after updates constitutes acceptance.
*Note: Upon formal incorporation, these Terms will be updated to reflect the registered company details.*
2. Definitions
For clarity, the following terms shall have the meanings assigned:

| Aura | The loyalty points program operated by Zlice |
| Campus | The IIT Kharagpur campus and its authorized premises |
3. Nature of Services
3.1 Marketplace Model
Zlice operates as a technology marketplace and intermediary under Section 79 of the Information Technology Act, 2000. We provide a platform that connects Users with Restaurant Partners and Delivery Partners.
Critical Clarifications:
- Zlice is NOT a restaurant or food preparation entity.
- The contract for the sale of food is strictly between You and the Restaurant Partner.
- The contract for delivery services is strictly between You and the Delivery Partner.
- Zlice facilitates these transactions but is not a party to the underlying contracts for food or delivery.
3.2 Services Offered

3.3 Service Availability
- Services are available only within the IIT Kharagpur campus.
- Service hours may vary by Restaurant Partner and delivery availability.
- Late Night Delivery (9 PM - 4 AM) is subject to Delivery Partner availability and safety conditions.
4. Eligibility
4.1 Age Requirement
The Services are available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. By using the Platform:
- You represent that you are at least 18 years of age, OR
- If under 18, you have obtained verifiable parental or guardian consent as per Section 9 of the DPDP Act, 2023 (see Privacy Policy, Section 6).
4.2 Campus Affiliation
Access to certain features (including campus-specific delivery and subsidized rates) is limited to:
- Currently enrolled students of IIT Kharagpur
- Faculty and staff of IIT Kharagpur
- Authorized campus residents
You agree to provide valid proof of affiliation (e.g., Institute ID card, @iitkgp.ac.in email) upon request.
4.3 Account Responsibility
- You may create only one (1) account per person.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are liable for all activities conducted through your account.
- Immediately notify us at support@zlice.in if you suspect unauthorized access.
5. Ordering and Delivery
5.1 Placing Orders
- You make an offer to purchase food from the Restaurant Partner.
- The Restaurant Partner may accept or reject your order at their discretion.
- Once accepted, a binding contract is formed between you and the Restaurant Partner.
- Zlice facilitates communication and payment processing.
5.2 Pricing and Payments
- All prices displayed are in Indian Rupees (₹) and include applicable taxes unless stated otherwise.
- The total payable amount (including item prices, delivery fees, platform fees, and taxes) is displayed at checkout before payment confirmation.
- Payments are processed through authorized payment gateways. Zlice does not store your complete payment card information.
- Promotional codes and Aura point redemptions are applied at checkout as per their respective terms.
5.3 Delivery Protocol (Campus-Specific)
IMPORTANT: "GATE DELIVERY" POLICY
Due to the security regulations and access restrictions of Halls of Residence at IIT Kharagpur, the following delivery protocol applies:
For Orders to Halls of Residence:
- "Delivery" is deemed completed when the Delivery Partner arrives at the main security gate or designated collection point of your Hall of Residence.
- Delivery Partners are strictly prohibited from entering student rooms, corridors, or restricted blocks.
- You agree to be physically present at the Hall Gate to collect your order upon arrival.
- The Delivery Partner will attempt to contact you (via call/notification) upon arrival.
No-Show Policy:
- If you fail to collect your order within 10 minutes of the Delivery Partner's arrival, despite reasonable contact attempts:
- The order will be deemed "Delivered".
- The Delivery Partner may dispose of the perishable item per platform policy.
- No refund will be issued for such orders.
5.4 Estimated Delivery Times
- Delivery times displayed on the Platform are estimates only and not guarantees.
- Actual delivery times may vary due to restaurant volume, weather, campus traffic, or partner availability.
- Zlice is not liable for delays caused by factors beyond our reasonable control.
6. Food Quality and Safety Disclaimers
6.1 Restaurant Partner Responsibility
The Restaurant Partner is solely responsible for the quality, safety, hygiene, and preparation of the food. Zlice mandates that all Restaurant Partners hold valid FSSAI License/Registration. Any grievance regarding food quality must be directed to the Restaurant Partner.
6.2 Platform Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Zlice provides the Platform on an "AS IS" and "AS AVAILABLE" basis.
- We do NOT guarantee the quality, taste, safety, or hygiene of food prepared by Restaurant Partners.
- We do NOT guarantee the accuracy of menu descriptions, images, or nutritional information provided by Restaurant Partners.
- We do NOT warrant that the Platform will be uninterrupted, error-free, or virus-free.
6.3 Allergens and Dietary Requirements
- Allergen and ingredient information is provided by Restaurant Partners and may not be exhaustive.
- If you have severe allergies, you must verify ingredients directly with the Restaurant Partner before ordering.
- Zlice disclaims all liability for allergic reactions or adverse health effects resulting from food consumed.
6.4 Food Safety Reporting
If you receive food that appears spoiled or unsafe:
- Report immediately via app AND email safety@zlice.in
- Preserve evidence (photos, retain the food item if safe)
- Full refund processed upon verification. Repeated violations result in delisting.
7. User Conduct
7.1 Acceptable Use
You agree NOT to:
- Provide false or misleading information.
- Create multiple accounts or use another's account.
- Order prohibited items (alcohol, tobacco, etc.).
- Disrupt or interfere with Platform operations.
- Reverse engineer or scrape the Platform.
7.2 Conduct Toward Partners
We maintain a zero-tolerance policy toward harassment or abuse directed at Delivery Partners, Restaurant Partners, or Zlice staff.
Consequences:
- Immediate suspension or termination of your account.
- Forfeiture of all Aura points without compensation.
- Reporting to the Institute Disciplinary Committee where appropriate.
7.3 Fraud and Abuse
Includes creating fake accounts, fraudulent orders, False refund claims, or collusion.
Consequences:
- Immediate account termination.
- Forfeiture of all Aura points.
- Legal action and reporting to law enforcement if criminal.
8. The Aura Loyalty Program
- Aura points are a promotional tool and hold no monetary value.
- They cannot be exchanged for cash or transferred.
- Redemption is a conditional discount. Not a PPI under RBI regulations.
- Participation is governed by separate Aura Program Terms.
- Zlice may modify or terminate the program at any time; unused points will be forfeited.
9. Account Suspension and Termination
9.1 By User
Terminate anytime via App Settings or email support@zlice.in. Data erased per Privacy Policy; points forfeited.
9.2 By Zlice
We may terminate without notice for breach of Terms, suspected fraud, illegal activity, or 12+ months inactivity.
9.3 Effect of Termination
Access ceases immediately. Points forfeited. Outstanding payments remain due.
10. Intellectual Property
The Platform design, code, and content are exclusive property of Zlice. You are granted a limited license for personal use.
User Content: By submitting reviews/ratings, you grant Zlice a perpetual, worldwide license to use them.
11. Limitation of Liability
- Exclusion of Warranties: Platform provided "AS IS" without warranties of any kind.
- Limitation of Damages: We are not liable for indirect, incidental, or consequential damages.
- Maximum Liability: Total liability limited to amount paid in last 6 months OR ₹1,000 (whichever is greater).
12. Indemnification
You agree to indemnify Zlice from claims arising from your use of the Platform, breach of Terms, or violation of third-party rights/laws.
13. Force Majeure
We are not liable for failure/delay due to events beyond control (disasters, pandemics, war, campus lockdowns, internet failures).
14. Dispute Resolution
14.1 Informal Resolution
Contact support@zlice.in first to resolve disputes informally.
14.2 Arbitration & Jurisdiction
Unresolved disputes settled by binding arbitration in Kolkata. Courts in Paschim Medinipur have exclusive jurisdiction for other matters.
15. General Provisions
- Entire Agreement: These Terms + Policies constitute the full agreement.
- Severability: Invalid provisions don't affect remaining ones.
- No Waiver: Failure to enforce doesn't waive rights.
- Assignment: You cannot transfer rights; Zlice can.

By using the Zlice Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
